These Terms of Use (“Terms”) govern your access to and use of the TrifoldTech website, including its pages, forms, features, content, products, programmes and services (collectively, the “Website”). In these Terms, “TrifoldTech,” “we,” “us” and “our” refer to TrifoldTech, located at 42 Ogunsami Street, Surulere, Lagos State Nigeria. “You” and “your” refer to every visitor, customer, learner, community member or other person who accesses or uses the Website. By accessing or using the Website, you confirm that you have read, understood and agreed to these Terms and our Privacy Policy. If you do not agree, please discontinue your use of the Website. 2. About TrifoldTech TrifoldTech is a technology company providing digital products, technology education, web development, software solutions, digital transformation services, consulting and other related services. Information displayed on the Website is provided for general information and may be updated as our products, programmes and services develop. 3. Eligibility You must be legally capable of entering into a binding agreement to use paid services through the Website. If you are under 16 years of age, you may use the Website only with the involvement and consent of a parent or legal guardian. Parents and guardians are responsible for supervising a minor’s use of the Website. 4. Acceptable Use You agree to use the Website only for lawful purposes and in a manner that does not violate the rights of TrifoldTech or any other person. We may restrict or terminate access where we reasonably believe these Terms have been violated. 5. Products and Services Descriptions, availability, timelines, features and prices of our products and services may change without prior notice. Submitting an enquiry, project request or registration form does not automatically create a service agreement. A binding commercial relationship arises only after the applicable proposal, quotation, invoice, service agreement or other written confirmation has been accepted. Any project-specific scope, timeline, payment arrangement, warranty or support obligation will be governed by the relevant agreement between TrifoldTech and the customer. Where a project agreement conflicts with these Terms, the project agreement will apply to that project. 6. TrifoldTech Acad and Educational Content Courses, workshops, tutorials, mentorship programmes and other educational resources provided through TrifoldTech Acad are intended for learning and professional development. Unless we expressly state otherwise: ⦁ enrolment is personal and may not be transferred; ⦁ course materials may not be copied, resold, recorded or redistributed; ⦁ completion of a programme does not guarantee employment, income, certification by another institution or any particular commercial result; and ⦁ certificates may be subject to attendance, assessment, payment and conduct requirements. Specific programme rules communicated during registration will form part of these Terms. 7. Accounts and Submitted Information Where the Website allows account creation or form submission, you agree to provide accurate, current and complete information. You are responsible for protecting your login credentials and for activities carried out through your account. Notify us promptly at info@trifoldtech@gmail.com if you suspect unauthorised access. You must not submit confidential, sensitive or proprietary information through a general contact form unless we have specifically requested it and provided an appropriate secure method. 8. Payments, Cancellations and Refunds Prices will be displayed on the Website, invoice, quotation or programme registration page, as applicable. You agree to provide accurate billing information and authorise our payment provider to process applicable charges. We do not ordinarily receive or store complete payment-card details when payments are processed by an independent payment provider. Payment obligations, deposits, cancellations and refunds may vary by service or programme. Any specific refund or cancellation policy displayed during purchase or included in a quotation or agreement will apply. Unless otherwise stated in writing: ⦁ payments for work already performed are non-refundable; ⦁ approved third-party costs are non-refundable once incurred; ⦁ project deposits reserve resources and may be non-refundable after work begins; and ⦁ refunds for cancelled programmes will be handled according to the conditions communicated during registration. Nothing in this section limits any right or remedy available under applicable Nigerian consumer-protection law. 9. Intellectual Property The Website and its original content including text, graphics, branding, logos, interfaces, software, source code, videos, course materials, documents and designs are owned by or licensed to Trifold Tech Limited and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-exclusive and non-transferable right to access and use the Website for personal or legitimate business enquiries. This permission does not allow you to: ⦁ reproduce or redistribute our content; ⦁ remove copyright, trademark or ownership notices; ⦁ modify or create derivative works from our content; ⦁ use our name, logo or branding without written approval; or ⦁ sell, sublicense or commercially exploit Website materials. “TrifoldTech,” its logo and related brand elements may not be used in a way that suggests endorsement, partnership or affiliation without our prior written permission. 10. User-Submitted Content If you submit testimonials, reviews, comments, media or other content for publication, you confirm that: ⦁ you own the content or have permission to submit it; ⦁ it does not violate another person’s rights; ⦁ it is not unlawful, misleading, defamatory or harmful; and ⦁ its publication will not breach confidentiality obligations. Where you expressly provide content for public use, you grant TrifoldTech Limited a non-exclusive, royalty-free licence to use, reproduce and display it for the agreed purpose. You may withdraw permission for future use by contacting us, subject to contractual and legal limitations. 11. Third-Party Websites and Services The Website may contain links to WhatsApp, social-media platforms, payment providers, map services and other third-party websites. Third-party services are controlled by their respective operators and are governed by their own terms and privacy policies. TrifoldTech does not control and is not responsible for their availability, content, security, conduct or data-handling practices. Limitation of Liability To the fullest extent permitted by applicable law, TrifoldTech will not be liable for indirect, incidental, special or consequential loss arising from your use of, or inability to use, the Website. Nothing in these Terms excludes liability for fraud, wilful misconduct, gross negligence or any other liability that cannot legally be limited. Any liability arising from a paid service will also be subject to the limitation provisions contained in the applicable service agreement. 15. Indemnity To the extent permitted by law, you agree to indemnify TrifoldTech against claims, losses and reasonable expenses arising directly from: i. your unlawful use of the Website; ii. your material breach of these Terms; iii. content you submit in violation of another person’s rights; or iv. malicious or unauthorised activity carried out through your account. 16. Privacy Our collection and use of personal information are governed by our Privacy Policy. By using the Website, you acknowledge that you have read that policy. 17. Suspension and Termination We may suspend or terminate access to the Website where: 1. you materially violate these Terms; 2. your activity threatens the Website or another user; 3. suspension is necessary to comply with a legal obligation; or 4. the relevant feature or service is discontinued. Provisions concerning intellectual property, liability, indemnity, disputes and any accrued rights will continue after termination where applicable. 18.
